Terms and Conditions
These Terms and Conditions (the “Terms”) govern the respective rights and obligations of zoom it s. r. o. and its clients in connection with the provision of IT infrastructure management services.
1. Introductory Provisions
These Terms are issued by zoom it s. r. o., with its registered office at Hviezdoslavova 3, 821 06 Bratislava – Podunajské Biskupice, Company ID No. (IČO) 35 930 888 (the “Provider”), which provides IT infrastructure management services to businesses, in particular network management, IT infrastructure hosting and cloud services (the “Services”).
These Terms apply to all contractual relationships between the Provider and the Client concerning the provision of the Services, unless the Provider and the Client agree otherwise in writing.
2. Entering into a Contract and Ordering Services
The Client may request Services by email or phone. Based on the enquiry, the Provider will prepare a quotation or a proposed scope of Services. The contractual relationship is formed when the Client confirms the offer in writing, including by email, or when a separate service agreement is signed.
3. Price and Payment Terms
The price of the Services is determined according to the Provider’s current price list or an individual quotation, depending on the agreed scope of Services. Unless the parties agree otherwise, invoicing generally takes place monthly. Invoices are due within 14 days of the date of issue unless otherwise stated on the invoice.
4. Rights and Obligations of the Parties
The Provider undertakes to provide the Services with professional care and to the agreed scope and standard. The Client undertakes to provide the Provider with the cooperation required for proper performance, such as access to the infrastructure, contact persons and timely information about changes.
5. Liability for Damage
The Provider is liable for damage caused by a demonstrable breach of its obligations under these Terms or the concluded contract, to the extent provided by generally applicable law. The Provider is not liable for damage caused by circumstances excluding liability, such as force majeure or an outage of third-party services, or for damage resulting from the Client’s failure to provide the necessary cooperation.
6. Personal Data Protection and Confidentiality
The processing of personal data in connection with the provision of the Services is governed by the Privacy Policy. Both parties undertake to keep confidential any confidential information to which they gain access in connection with performance of the contract.
7. Service Restrictions and Content Handling
In accordance with these Terms and Regulation (EU) 2022/2065 (Digital Services Act), zoom it s. r. o. is entitled to restrict, remove or disable access to content stored within the infrastructure it provides, or to suspend or terminate the provision of a Service, if the content is found to violate generally applicable law or these Terms.
The affected Client will receive a statement of reasons for each such measure, including in particular the reason for and legal basis of the measure, information on whether the decision was taken by automated means, and information on the possibilities for redress available to the Client.
Contact point for questions concerning this section of the Terms: dsa@zoomit.sk.
8. Termination of the Contractual Relationship
The contractual relationship may be terminated by agreement of the parties or by either party giving one month’s notice, unless the parties agree otherwise in the relevant contract. Termination does not affect claims arising before termination, such as payment for Services already provided.
9. Final Provisions
These Terms and the relationships governed by them are subject to the laws of the Slovak Republic. The parties undertake to resolve any disputes primarily by mutual agreement; failing that, the courts of the Slovak Republic will have jurisdiction. The Provider reserves the right to update these Terms from time to time; the current version is always available on this page.
